Program Official Rules

The L'Oréal Next Generation Awards Program (the “Program”) begins on 12:00 AM (UTC/GMT -4 hours) on 05/22/2014 and ends at 11:59 PM (UTC/GMT -4 hours) on 06/23/2014 (“Program Period”). The Program will consist of a Nomination Phase and a Judging Phase, where the public nominates ground-breaking female individuals who are innovative leaders in the digital technology field and then all eligible nominations will be judged by a qualified panel of judges to determine up to twenty (20) Finalists which will then be re-judged to determine up to three (3) winners.


Program is open only to nominees who are legal female residents of the fifty (50) United States or the District of Columbia, 18 years of age or older at the time of entry who either own or are currently in a leadership position of an early-stage digital technology company and nominators who are legal residents of the fifty (50) United States or the District of Columbia, and are 18 years of age or older at time of entry. It is recommended that nominators obtain the permission of a nominee prior to nominating them in this Program. Void where prohibited by law. Employees of L'Oréal USA, Inc. (“Sponsor”), and their subsidiaries, affiliates, promotion and advertising agencies, and members of their immediate family (spouse and parent, children and siblings and their respective spouses, regardless of where they reside) and persons living in the same household, whether or not related, of such employees, are not eligible to enter or win. Program is subject to all applicable federal, state and local laws.


To make a nomination during the Program Period, visit www.lorealwomenindigital.com/nominate and follow the directions provided to complete the nomination form entering nominee that is a ground-breaking and innovative leader in the digital technology field (collectively, each, an “Entry”). All Entries must be received by (11:59 PM UTC/GMT -4 hours) on 06/23/2014 to be considered. Submission of erroneous or incomplete information will void the submitted Entry.

Except as otherwise provided herein, Sponsor will not enter into any correspondence with any nominee or nominator regarding an Entry. Entries generated by script, macro or other automated means and Entries by any means which subvert the entry process are void. There is no limit as to the number of Entries submitted per nominator, however, each Entry must be for a different nominee and each Entry must be substantially different from any other Entry submitted by such nominator, as determined by Sponsor in its sole discretion. All Entries become the sole property of the Sponsor and will not be returned.


Entry must be in English, be the original work of the nominator, may not have been previously published, may not have won previous awards, and must not infringe upon the copyrights, trademarks, rights of privacy, publicity or other intellectual property or other rights of any person or entity. If the Entry contains any material or elements that are not owned by the nominator, and/or which are subject to the rights of third parties, the nominator is responsible for obtaining, prior to submission of the Entry, any and all releases and consents necessary to permit the use and exhibition of the Entry by Sponsor in the manner set forth in these Official Rules, including, without limitation, name and likeness permissions from the nominee or any third-party who is mentioned in the Entry and/or is identifiable in the Entry. Sponsor reserves the right to request proof of these permissions in a form acceptable to Sponsor from any nominator at any time. Failure to provide such proof may, if requested, render Entry null and void. By submitting an Entry, nominator warrants and represents that he/she and the nominee or third-party being mentioned in the Entry and/or who is identifiable in the Entry consent to the submission and use of the Entry in the Program.


Round One:

All eligible Entries will be judged on or about 06/30/2014 by a panel of qualified judges based on the following criteria: 1) number of crow sourced nominations (50%), 2) the ability to portray nominees personality and success in the digital technology field (25%), and 3) the nominees ability to adhere to the Program theme (25%) (the “Judging Criteria”). The ten (10) Entries with the highest scores will be deemed potential Finalist nominations, subject to verification of eligibility and compliance with these Official Rules. In the event of a tie, an additional, “tie-breaking” judge will determine the Finalist nomination(s) based on the criteria listed herein.

Round Two:

Finalists’ Entries will be judged on or about 07/15/2014 by a separate panel of qualified judges based on the Judging Criteria specified above. The three (3) Finalist Entries with the highest scores will be deemed potential Grand Prize nominations, subject to verification of eligibility and compliance with these Official Rules. In the event of a tie, an additional, “tie-breaking” judge will determine the Grand Prize nomination(s) based on the criteria listed herein.


Potential winning nominee will be notified by telephone and/or email and will be required to each complete an Affidavit of Eligibility, Liability and Publicity Release (unless prohibited by law) and any other documents required by Sponsor, which must be returned within 5 days of date appearing on prize notification. Return of prize notification as undeliverable, failure to sign and return requested documentation within the specified time period, the inability of Sponsor to contact potential winning nominee within a reasonable time period or noncompliance with these Official Rules by potential winning nominee will result in disqualification and, at Sponsor’s sole discretion, the prize may be awarded to a runner-up nominee.


A trip for Grand Prize nominee (one company representative) - to attend the L'Oréal NEXT Generation Awards Event. Trip consists of roundtrip, coach class air transportation from a major U.S. gateway airport nearest winner’s residence to destination, transportation organized by Sponsor from and to the airport, three (3) days and two (2) nights standard hotel accommodations (one (1) room, double occupancy), and the opportunity to meet with L’Oreal’s Women in Digital Advisory Board, senior executives, and agency partners. Approximate Retail Value (“ARV”) of each Grand Prize: $2,500. Actual value of may vary based on point of departure. Any difference between stated value and actual value will not be awarded. In the event winner resides within one hundred (100) miles of New York, NY, Sponsor reserves to right to substitute ground transportation in lieu of air transportation. Winner will have the opportunity participate in a a pilot with a L'Oreal brand to be completed by the end of 2015. Exact pilot and level of participation in pilot to be determined by L’Oréal as its sole discretion.


Trips must be taken on dates specified by Sponsor or prize will be forfeited and Sponsor will have no further obligation to such winner. Sponsor reserves right to change dates. Winners will be solely responsible for obtaining any/all documents necessary for travel. Travel must be made through Sponsor’s agent, on a carrier of Sponsor’s choice. Certain travel restrictions may apply. All federal, state and local taxes and all other costs associated with prize acceptance and use not specified herein as being provided, including if a Grand Prize winner, any additional ground transportation, luggage fees, meals, gratuities, and souvenirs are the sole responsibility of the winners. Winners may not substitute, assign or transfer prize or redeem prize for cash, but Sponsor reserves the right, at its sole discretion, to substitute prize (or portion thereof) with one of comparable or greater value. All prize details are at Sponsor’s sole discretion.


By participating, each nominator (and nominee, if not same) agrees: (a) to abide by these Official Rules and decisions of Sponsor and judges, which shall be final and binding in all respects relating to this Program; (b) to release, discharge and hold harmless Sponsor, its respective parent, affiliates, subsidiaries, and advertising and Program agencies, and the respective officers, directors, shareholders, employees, agents and representatives of the forgoing (collectively, “Released Parties”) from any and all injuries, liability, losses and damages of any kind to persons, including death, or property resulting, in whole or in part, directly or indirectly, from nominator’s and/or nominee’s participation in the Program or any Program-related activity or the acceptance, possession, use or misuse of any awarded prize (including any travel or activity related thereto); and (c) to the use of his/her name, photograph, image and/or likeness for programming, advertising, publicity and promotional purposes in any and all media, now or hereafter known, worldwide and on the Internet, and in perpetuity by Sponsor and its designees, without compensation (unless prohibited by law) or additional consents from nominator or any third party and without prior notice, approval or inspection, and to execute specific consent to such use if asked to do so. By participating, nominator and nominee also agrees not to release any publicity or other materials on their own or through someone else regarding their participation in the Program without the prior consent of the Sponsor, which it may withhold in its sole discretion.


By submitting an Entry, each nominator agrees Sponsor shall own the Entry (including all rights embodied therein) and that it and its designees may exploit, edit, modify, and distribute the Entry, and all elements of such Entry, including, without limitation, the names and likenesses of any persons or locations embodied therein, in any and all media now known or hereafter devised, worldwide, in perpetuity without compensation, permission or notification to nominator, nominee or any third party.


Released Parties are not responsible for lost, late, incomplete, damaged, inaccurate, stolen, delayed, misdirected, undelivered, or garbled Entries; or for lost, interrupted or unavailable network, server, Internet Service Provider (ISP), website, or other connections, availability or accessibility or miscommunications or failed computer, satellite, telephone or cable transmissions, lines, or technical failure or jumbled, scrambled, delayed, or misdirected transmissions or computer hardware or software malfunctions, failures or difficulties, or other errors or difficulties of any kind whether human, mechanical, electronic, computer, network, typographical, printing or otherwise relating to or in connection with the Program, including, without limitation, errors or difficulties which may occur in connection with the administration of the Program, the processing or judging of Entries, the announcement of the prizes, or in any promotion-related materials. Released Parties are also not responsible for any incorrect or inaccurate information, whether caused by site users, tampering, hacking, or by any equipment or programming associated with or utilized in the Program. Released Parties are not responsible for injury or damage to any person's computer related to or resulting from participating in this Program or downloading materials from or use of the website. Persons who tamper with or abuse any aspect of the Program or website, who act in an unsportsmanlike or disruptive manner or who are in violation of these Official Rules, as solely determined by Sponsor, will be disqualified and all associated Entries will be void. Should any portion of the Program be compromised by virus, worms, bugs, non-authorized human intervention or other causes which, in the sole opinion of the Sponsor, corrupt or impair the administration, security, fairness or proper play, or submission of Entries, or in the event the Program is unable to run as planned for any other reason, Sponsor reserves the right at its sole discretion to suspend, modify or terminate the Program and, if terminated, at its discretion, select the potential winning nominee/nominator from among all eligible, non-suspect Entries received prior to action taken using the judging procedure outlined above. Should multiple users of the same e-mail account enter the Program and a dispute arises regarding the identity of the nominator, the authorized account subscriber of said e-mail account at the time of Entry will be considered the nominator and he/she must comply with these Official Rules. “Authorized account subscriber” is defined as the natural person who is assigned an e-mail address by an Internet access provider, on-line service provider or other organization, which is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE THE WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE PROGRAM MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES AND OTHER REMEDIES (INCLUDING ATTORNEYS’ FEES) FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT OF THE LAW, INCLUDING CRIMINAL PROSECUTION. ARBITRATION: Except where prohibited by law, as a condition of participating in this Program, participant agrees that (1) any and all disputes and causes of action arising out of or connected with this Program, or any prizes awarded, shall be resolved individually, without resort to any form of class action, and exclusively by final and binding arbitration under the rules of the American Arbitration Association and held at the AAA regional office nearest the participant; (2) the Federal Arbitration Act shall govern the interpretation, enforcement and all proceedings at such arbitration; and (3) judgment upon such arbitration award may be entered in any court having jurisdiction. Under no circumstances will participant be permitted to obtain awards for, and participant hereby waives all rights to claim, punitive, incidental or consequential damages, or any other damages, including attorneys' fees, other than participant's actual out-of-pocket expenses (i.e., costs associated with participating in this Program), and participant further waives all rights to have damages multiplied or increased.


All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of participant and Sponsor in connection with the Program, shall be governed by, and construed in accordance with, the substantive laws of the State of New York, USA.
